1. Acceptance of Terms

By engaging the services of AYAN IT Solutions Private Limited ("Company", "we", "us", or "our"), you ("Client", "you") agree to be bound by these Terms and Conditions. These terms govern all service agreements, project contracts, and ongoing engagements between the Company and the Client.

If you do not agree to these terms, please do not engage our services. We reserve the right to update these terms at any time, with notice provided via email to the address on record.

2. Company Details

AYAN IT Solutions Private Limited is a company incorporated under the Companies Act, 2013, with CIN U72900MP2022PTC060934, registered at Registrar of Companies, ROC Gwalior. Our registered office is at 3/6, Radha Ganj, Dewas, Madhya Pradesh, India – 455001.

3. Services Provided

We provide the following categories of services:

• Website Development: Design, development, and deployment of websites including landing pages, business websites, portfolios, and e-commerce platforms.
• AdSense-Ready Websites: Creation of content websites structured to meet Google AdSense policies and optimised for advertising revenue.
• Google Ads Management: Setup, management, and optimisation of Google Ads campaigns including Search, Display, and Shopping campaigns.
• Digital Marketing Consultation: Strategic advice on online presence, SEO, and paid media.

The specific scope of services for each engagement is defined in a written proposal or Statement of Work (SOW) provided to the Client before project commencement.

4. Project Proposals and Agreements

All projects commence upon written acceptance of a project proposal by the Client and receipt of the agreed advance payment. Verbal agreements are not binding. The proposal constitutes the complete scope of work; any additions will be treated as change requests and quoted separately.

Proposals are valid for 14 calendar days from the date of issue. After this period, prices and timelines may be subject to revision.

5. Payment Terms

All prices are quoted in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise. Our standard payment structure is:

• 50% advance payment before project commencement
• 50% balance payment upon project completion, before final delivery or handover

For Google Ads management, ad spend is paid directly by the Client to Google. Our management fee is invoiced monthly, due within 7 days of invoice date.

Late payments may result in project suspension. Projects on hold for more than 30 days due to non-payment may be cancelled, with the advance payment retained as compensation for work completed.

6. Client Responsibilities

The Client agrees to:

• Provide all required content, images, branding assets, and information in a timely manner
• Designate a single point of contact for project communication
• Review and approve deliverables within 5 business days of submission
• Ensure all content provided is original, legally owned, and does not infringe third-party rights
• Provide accurate business information for use in websites and ad campaigns

Delays caused by the Client's failure to provide required materials or timely approvals will extend project timelines accordingly, with no penalty to the Company.

7. Revisions and Change Requests

Each project proposal includes a defined number of revision rounds. Additional revisions beyond the agreed scope will be charged at our current hourly rate, communicated before work begins.

Change requests that materially alter the project scope (new features, significant design changes, additional pages) will be treated as separate work items and quoted accordingly.

8. Intellectual Property

Upon receipt of full payment, the Client receives full ownership of all custom work product created specifically for their project, including website designs and custom code.

The Company retains ownership of all pre-existing tools, frameworks, libraries, and proprietary methodologies used in the delivery of services. Third-party assets (stock images, fonts, plugins) remain subject to their respective licences.

The Company reserves the right to display completed work in its portfolio unless the Client requests confidentiality in writing before project commencement.

9. Google Ads and Third-Party Platforms

Google Ads campaign management is subject to Google's advertising policies, which may change without notice. The Company is not liable for ad disapprovals, account suspensions, or policy changes imposed by Google or any other third-party platform.

AdSense approval for Client websites is at Google's sole discretion. While we build policy-compliant websites, we cannot guarantee approval. Our obligation is to revise the website based on Google's specific rejection feedback at no additional charge.

10. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including business plans, financial data, client lists, and proprietary processes. This obligation survives termination of the service agreement.

11. Limitation of Liability

The Company's total liability for any claim arising from services provided shall not exceed the total amount paid by the Client for the specific project or service giving rise to the claim.

The Company is not liable for indirect, incidental, or consequential damages including lost profits, lost revenue, or business interruption, even if advised of the possibility of such damages.

12. Termination

Either party may terminate a service agreement with 14 days' written notice. Upon termination, the Client will be invoiced for all work completed to date. Advance payments are non-refundable for work already commenced.

13. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Dewas, Madhya Pradesh, India.
